Elhence Technologies Private Limited ("Elhence", "Elhence Technologies", "ETPL", "we", "us", "our") operates this website and SmartPursuit. By accessing our website, creating an account, or using SmartPursuit or any Elhence product or service, you agree to be bound by these Terms of Service ("Terms"). If you use our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

SmartPursuit is an AI-powered end-to-end bid management platform that helps businesses discover relevant RFPs and tenders across enterprise sourcing portals, private vendor networks, and public-sector e-procurement portals (including GeM, CPPP, and state e-procurement portals); analyze requirements and build compliance matrices; draft proposals with AI assistance from an approved content library; collaborate with subject-matter experts and manage approvals; and track submission readiness and outcomes.

Elhence may offer additional products and services from time to time, governed by these Terms unless stated otherwise.

You must be at least 18 years of age and have the legal capacity to enter into these Terms. You must provide accurate account information and keep it up to date. You are responsible for the confidentiality of your credentials and all activity under your account. Accounts are for individual users; sharing credentials is not permitted unless your plan expressly allows it.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use SmartPursuit for your internal business purposes during your subscription term.

Elhence owns all rights in the software, AI models, documentation, design, and related intellectual property. Except for the license above, no rights are granted to you.

You retain ownership of the content and data you submit to SmartPursuit ("Your Content"). You grant us a non-exclusive license to process Your Content solely to provide and improve the service.

You agree not to: use the service in violation of any applicable law; reverse engineer or attempt to derive the source code of the service; resell or sublicense the service except as permitted by your plan; upload unlawful, infringing, or harmful content; attempt unauthorized access to the service or other accounts; interfere with or disrupt the service; or use the service to process data you are not authorized to process.

You are responsible for Your Content, including its lawfulness and your right to submit it, and for obtaining any consents required from individuals whose data is included.

AI-generated outputs in SmartPursuit are provided as assistance to your team. You are responsible for reviewing, validating, and approving all AI-generated content before use or submission. AI outputs may contain errors and are not a substitute for professional judgment.

We do not claim ownership of Your Content, and may use aggregated, de-identified data to improve our products.

Fees are as set out in your order form or subscription plan and are payable in advance against our invoice. We do not accept online payments through our website and do not collect or store payment card details.

Subscriptions are billed on the frequency stated in your plan. There is no long-term lock-in beyond your plan's stated terms. Refunds are governed by our Refund Policy.

We aim for 99.5% monthly uptime for paid plans, and may perform scheduled maintenance with reasonable notice. Free or trial tiers are provided without an uptime commitment unless otherwise stated.

Each party will keep the other party's confidential information confidential and use it only to perform its obligations under these Terms. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We process personal data in accordance with our Privacy Policy. Where we process personal data on your behalf, a Data Processing Agreement applies — contact us for our current template.

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the service will be uninterrupted, error-free, or secure.

We do not guarantee any bid or tender outcome. Winning results depend on many factors beyond our control, including the quality of your content and the decisions of buyers. To the maximum extent permitted by law, we disclaim all liability for AI-generated outputs and any decisions you make based on them.

To the maximum extent permitted by law, Elhence's aggregate liability arising out of or relating to these Terms or the service will not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

To the maximum extent permitted by law, Elhence will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless Elhence and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of (a) Your Content, (b) your use of the service, or (c) your breach of these Terms.

You may cancel your subscription in accordance with your plan's terms at any time. We may suspend or terminate your access for breach of these Terms, non-payment of fees, or as required by law, with notice where practicable. Upon termination, your access will end and we will handle your data per our Privacy Policy, our agreement with you, and applicable law.

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana.

Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, acts of government, internet or infrastructure failures, and similar events.

We may update these Terms from time to time. Material changes will be notified on this page and, where appropriate, by email. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

These Terms, together with any order form, our Privacy Policy, and any other documents incorporated by reference, constitute the entire agreement between you and Elhence. If any provision is found unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision.
